These Terms of Service ("Terms") govern your access to and use of the Maslink website at maslink.ca, and any services provided by Maslink ("Maslink", "we", "us", or "our"), a technology services business based in Edmonton, Alberta, Canada.

By using our website or engaging our services, you agree to be bound by these Terms. If you do not agree, do not use our website or services.

1. Services

Maslink provides IT support, network and infrastructure services, custom software development, and web development to businesses in Edmonton and the surrounding area. The specific scope, deliverables, timeline, and fees for any engagement are confirmed in writing — by email, proposal, or invoice — before work begins. We reserve the right to decline any project at our sole discretion without obligation to provide a reason.

2. Payment Terms

Unless otherwise agreed in writing:

• ›Invoices are due within 14 days of the invoice date.
• ›We reserve the right to pause or suspend work on any engagement where payment is overdue.
• ›Deliverables remain the property of Maslink until payment is received in full. No license to use any deliverable is granted until the invoice is paid.
• ›Deposits paid for project work are non-refundable once work has commenced.

3. Intellectual Property

Maslink retains all intellectual property rights in any code, tools, methodologies, frameworks, or work product created during an engagement, including but not limited to custom software, scripts, automation tools, and website code.

Upon receipt of full payment, Maslink grants the client a non-exclusive, perpetual, royalty-free license to use the deliverables for their own internal business purposes. This license does not include the right to resell, sublicense, modify for resale, or claim ownership of the underlying code or work product.

Full transfer of ownership or source code rights requires a separate written agreement and may be subject to additional fees. All content on the maslink.ca website — including text, design, graphics, and branding — remains the exclusive property of Maslink at all times.

4. Client Responsibilities

To allow us to complete work safely and effectively, you agree to:

• ›Provide accurate, complete, and timely information, access, and cooperation required to complete the engagement.
• ›Ensure you have the legal authority to grant access to any systems, accounts, or data you provide to us.
• ›Maintain current backups of all critical data before any work is performed on your systems, unless backup setup is the explicit scope of the engagement.
• ›Notify us promptly of any issues, errors, or concerns arising from our work.

Delays caused by the client's failure to provide timely access, information, or approvals may affect project timelines and are not the responsibility of Maslink.

5. Disclaimer of Warranties

Maslink provides all services and deliverables on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, uninterrupted operation, or error-free performance. We do not guarantee specific business outcomes, uptime levels, search engine rankings, or performance results from any work we deliver. Technology environments vary and results may differ from expectations despite our best efforts.

6. Limitation of Liability

To the fullest extent permitted by applicable law, Maslink shall not be liable for:

• ›Any indirect, incidental, special, consequential, or punitive damages.
• ›Loss of data, revenue, profits, business, or goodwill.
• ›Business interruption or system downtime arising from our services.
• ›Any damages arising from third-party hardware, software, or services used in connection with our work.

Our total aggregate liability for any claim arising from a specific engagement is limited to the total fees paid by the client for that engagement in the 30 days preceding the claim.

7. Indemnification

You agree to indemnify, defend, and hold harmless Maslink and its personnel from and against any claims, liabilities, damages, losses, or expenses — including reasonable legal fees — arising out of or in any way connected with your use of our services, your violation of these Terms, or your infringement of any third-party rights.

8. Confidentiality

We treat all client information, credentials, system access, and business details shared during an engagement as strictly confidential. We do not disclose client information to third parties except as necessary to deliver the agreed services, or as required by applicable law. Credentials and sensitive access information shared for the purpose of an engagement are deleted upon completion of the work, unless ongoing access is required for a continued support arrangement.

9. Website Use

You may use this website for lawful purposes only. You agree not to:

• ›Use the website in any way that violates applicable local, provincial, or federal laws.
• ›Submit false or misleading information through our contact form.
• ›Attempt to gain unauthorised access to any part of the website or its underlying infrastructure.
• ›Use automated tools to scrape or extract content from the website without permission.

10. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the applicable federal laws of Canada, without regard to conflict of law principles. Any dispute arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Alberta. You waive any objection to the laying of venue in Alberta.
